Terms of Service

These Terms of Service ("Terms") govern your access to and use of OutreachAI, a product operated by Replova Labs Private Limited ("Replova Labs", "we", "us") and deployed on the Replov platform-as-a-service. By accessing or using OutreachAI, you agree to be bound by these Terms.

1. Definitions

  • "Platform" means the OutreachAI web application and its APIs
  • "User" or "You" means any individual or entity accessing the Platform
  • "Workspace" means your isolated account environment within OutreachAI
  • "Replov" means the PaaS platform that provides authentication, billing, and deployment infrastructure
  • "Content" means any data, text, scripts, templates, leads, or materials you upload or create

2. Account & Eligibility

  • You must be at least 18 years old and have the legal capacity to enter into binding agreements
  • If using on behalf of an organization, you represent that you have authority to bind that organization
  • You are responsible for maintaining the confidentiality of your Replov account credentials
  • One workspace per organization is recommended; creating multiple workspaces to circumvent quotas is prohibited

3. Service Description

OutreachAI provides:

  • Lead discovery from public business directories (Google Places)
  • AI-powered lead segmentation and scoring
  • Multi-channel outreach campaigns (email, SMS, WhatsApp, AI voice calls)
  • Standalone bulk AI voice calling
  • Campaign analytics and CRM features
  • Meeting scheduling and management

4. Subscription Plans & Billing

4.1 Plans

OutreachAI offers tiered subscription plans (Pay-as-you-go, Starter, Growth, Scale) with monthly quotas for searches, emails, SMS, WhatsApp messages, voice call minutes, and bulk call minutes. Plan details and pricing are displayed on the Settings page.

4.2 Replov Wallet

All usage beyond plan quotas, and all usage on Pay-as-you-go plans, is charged to your Replov wallet. The wallet is a prepaid balance managed through the Replov platform. You must maintain sufficient balance for continued service.

4.3 Pricing

Per-unit costs are displayed in the application. Prices are in Indian Rupees (INR). We reserve the right to modify pricing with 30 days' prior notice. Billing transactions are logged and visible in your workspace.

4.4 Quota Reset

Monthly quotas reset on your billing anniversary date. Unused quota does not carry over to the next period.

5. Acceptable Use

Your use of OutreachAI is additionally governed by our Acceptable Use Policy, which is incorporated into these Terms by reference.

6. Your Content & Data

6.1 Ownership

You retain ownership of all Content you upload or create on OutreachAI. We do not claim intellectual property rights over your business data, lead lists, scripts, or campaign content.

6.2 License to Us

You grant us a limited, non-exclusive license to process, store, and transmit your Content solely for the purpose of providing the service (e.g., sending your emails through delivery providers, passing call scripts to the voice AI engine).

6.3 Your Responsibility

You are solely responsible for the legality, accuracy, and appropriateness of all Content. You must have lawful basis to contact every lead in your campaigns.

7. AI-Generated Content

OutreachAI uses AI models (including Claude by Anthropic) to generate outreach scripts, segmentation insights, and call summaries. AI-generated content is provided as suggestions only. You are responsible for reviewing, editing, and approving all content before it is sent to leads.

8. Intellectual Property

The OutreachAI platform, its design, code, logos, and branding are the intellectual property of Replova Labs Private Limited. You may not copy, modify, distribute, or reverse-engineer any part of the Platform.

9. Service Availability

  • We aim for 99.5% uptime but do not guarantee uninterrupted service
  • Scheduled maintenance will be announced at least 24 hours in advance when possible
  • We are not liable for downtime caused by third-party providers (Bolna, Plivo, Google, AWS, etc.)
  • We may suspend your account immediately if we detect Terms violations or abusive usage

10. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

  • Our total liability for any claim shall not exceed the amount you paid us in the 3 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for losses resulting from unauthorized access to your account
  • We are not liable for the accuracy or deliverability of communications sent through the Platform
  • We are not liable for responses or outcomes from AI voice call conversations

11. Indemnification

You agree to indemnify and hold harmless Replova Labs, its directors, employees, and affiliates from any claims, damages, or expenses arising from your use of the Platform, your Content, or your violation of these Terms or applicable laws.

12. Termination

  • You may stop using OutreachAI at any time by closing your workspace
  • We may suspend or terminate your access for Terms violations with or without notice
  • Upon termination, your data will be retained for 90 days (for retrieval), then permanently deleted
  • Billing obligations incurred before termination remain payable

13. Dispute Resolution

  • These Terms are governed by the laws of India
  • Any disputes shall first be attempted to be resolved through mediation
  • If mediation fails, disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, India

14. Modifications

We may update these Terms from time to time. Material changes will be notified via email or in-app notification at least 15 days before they take effect. Continued use after changes constitutes acceptance.
